Terms of Service & End-User License Agreement

These Terms of Service and End-User License Agreement (the “Terms”) govern your access to and use of the Coderae software, applications, and related services (the “Software”) provided by Coderae (“we”, “us”). By creating an account, installing, or using the Software, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Software.

1. License grant

Subject to these Terms and your payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on hardware you control, for your internal development purposes, for the duration of your active subscription. This license does not transfer ownership; we and our licensors retain all rights, title, and interest in the Software.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and promptly update it as needed. You must be legally able to enter into these Terms.

3. Subscriptions, billing & renewal

Paid plans are billed in advance on a recurring basis through our payment processor. Unless you cancel before the end of the current billing period, your subscription renews automatically at the then-current price. You authorize us and our payment processor to charge your payment method for applicable fees and taxes. Refunds are governed by our Refund Policy.

The Software is local-first: your source code, prompts, and files are processed on hardware you control and are not sent to us in the default local configuration, as described in our Privacy Policy. You retain all rights to your code and content. You are responsible for your use of any third-party or cloud model you choose to connect.

The Software can integrate optional third-party services (for example, cloud model providers or web tools) that you enable. Your use of those services is governed by their own terms, and we are not responsible for them.

The Software is provided “as is” and “as available” without warranties of any kind, to the maximum extent permitted by law. AI-generated output may be inaccurate or incomplete; you are responsible for reviewing and testing any code or output before relying on it.

8. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability arising out of or relating to these Terms will not exceed the amount you paid us in the twelve months preceding the claim.

9. Termination

You may stop using the Software at any time. We may suspend or terminate your access for breach of these Terms or non-payment. On termination, your license ends and you must stop using the Software.

10. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by a new version number and update date; continued use after changes take effect constitutes acceptance.
